Terms of Service

1. About this service

AstraNL (operated by AstraNL ZZP, KvK 88449335, Netherlands) is a coordination intelligence infrastructure. We match clients with verified local professionals through a protocol-based matching system.

We are NOT: the service provider, an employer, an agency, or a party to the service contract between you and the provider. We facilitate discovery, coordination, and (optionally) payments processed by Stripe, our payment processor.

2. Acceptance

By using AstraNL, you agree to these Terms and our Privacy Policy. If you don't agree, don't use the service.

3. Eligibility

• You must be at least 18 years old.
• Using the protocol never removes your own responsibility for your own actions, under any circumstances. This applies equally to people, companies, AI agents and their principals, and robot operators. AstraNL coordinates, measures and proves; it does not replace competence, licences, insurance or your legal duties. Any recommendation, estimate, basket or match produced by the protocol is an informational coordination result - not an instruction and not a guarantee.
• You must have legal authority to enter into contracts in your jurisdiction.
• Service providers must be legally registered to operate in their country (KvK in the Netherlands, equivalent elsewhere) and comply with Wwft where applicable.

4. Account

• You are responsible for keeping your credentials secure.
• One account per person. No unauthorized bots, scrapers, or automated account creation. Registered protocol agents acting through the documented API/MCP interfaces on behalf of an identified principal are permitted.
• We may suspend accounts for fraud, abuse, or Terms violations.
• You can delete your account at any time through POST /api/user/delete.

5. The coordination service

When you post a task:

• We route it to KvK-registered providers in the relevant category and region.
• Matched providers can reply with offers.
• You choose which provider to hire.
• The contract is between you and the provider — not AstraNL.
• For coordinated work, the client normally pays the provider directly on the provider's own agreed business payment rail. AstraNL does not receive, hold, route or release the work amount. Stripe is optional; if the parties choose the Stripe rail, its separate authorisation/capture rules apply.

6. Fees

• AstraNL coordination fee: 1% of the task value, due from the provider only after a paid, confirmed outcome and invoiced separately by AstraNL.
• Payment provider fee (Stripe): as displayed at checkout (typically ~1.5% + €0.25).
• Provider payment: the provider receives the full agreed work amount directly from the client. AstraNL does not deduct from or route that payment; its 1% coordination fee is a separate provider obligation after confirmed settlement. Payment-processor costs, where a processor is used, are shown before consent.
• Distribution of the 1% AstraNL fee: 80% operations, 10% Future Economy Pool, 10% Humanity Support Fund.
• No fees for browsing, posting questions, or cancelling a task before acceptance.

7. Provider obligations

• Hold a valid business registration (KvK or equivalent).
• Possess relevant insurance and licenses for the trade.
• Comply with Wwft AML requirements where applicable.
• Deliver services professionally and honestly.
• Provide invoices with correct VAT (BTW) details.

8. Client obligations

• Describe tasks truthfully and with enough detail for accurate pricing.
• Provide safe work conditions and site access as agreed.
• Pay agreed work amounts directly to the provider on the rail agreed for that job.
• Raise disputes within 7 days of task completion.

9. Content you post

By posting content (task descriptions, forum posts, reviews) you grant AstraNL a non-exclusive, worldwide license to display and distribute that content solely to operate the platform. You retain ownership. You can delete your content at any time.

Do not post: illegal content, copyrighted material you don't own, spam, malware, hate speech, or anything violating third-party rights.

10. Disputes between client and provider

AstraNL can coordinate disputes based on evidence submitted by both parties, but cannot hold or reverse a direct bank transfer. When optional Stripe payment is used, Stripe-specific dispute functions apply. Decisions are made within 14 days. Parties can always seek legal remedies through Dutch courts (Rechtbank Amsterdam has jurisdiction for consumer disputes, Rechtbank Rotterdam for business-to-business disputes).

11. Consumer rights (if you are a consumer)

Consumers in the EU have 14-day withdrawal right for digital services under the Consumer Rights Directive (2011/83/EU), unless the service has already been fully performed with your explicit consent.

12. Liability

• AstraNL provides the coordination platform "as is" with reasonable care.
• We are not liable for quality, safety, or legality of services provided by third-party professionals.
• Our maximum liability for any claim is limited to the coordination fees paid by you in the 12 months preceding the claim. AstraNL sets no maximum job value; you may coordinate work of any size. Because of that, note the practical consequence: on a large job this cap may be far below the value of the work, For jobs above roughly EUR 1,000 we recommend a written agreement with the provider, checking their KvK registration and professional liability insurance, and payment in stages tied to delivered milestones.
• This limit does not apply to damages caused by intent or gross negligence.
• Nothing limits consumer rights that cannot be excluded under applicable law.

13. Insurance

AstraNL is currently transitioning between professional liability insurance providers. During this transition AstraNL operates strictly as a coordination broker without active platform liability cover. Service providers remain responsible for their own professional liability and insurance under their own contract with the client; optional Stripe terms apply only when that rail is chosen. They are contractually responsible for damages caused by their own work. AstraNL's own liability is limited to the coordination fee charged on the relevant task.

14. Termination

You can stop using AstraNL at any time. We can suspend or terminate accounts for Terms violations, with 30-day notice for non-urgent cases. Payment obligations for completed tasks survive termination.

15. Changes

We'll notify you of material changes to these Terms by email (if you have an account) or a site banner at least 30 days in advance. Continued use after changes means acceptance.

16. Governing law

These Terms are governed by Dutch law. Disputes are resolved in Dutch courts, with consumer-friendly jurisdiction (your local court in the EU) where applicable.
